01Acceptance of Terms

By creating an account, accessing, browsing, downloading, integrating our APIs, or utilizing any feature of DubEnvoy, you signify that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy.

If you do not agree to all of the terms and conditions stated herein, you must immediately discontinue use of the Service. If you are entering into this agreement on behalf of a company, organization, or other legal entity, you represent and warrant that you possess the full legal authority to bind that entity to these Terms.

02Eligibility & User Accounts

2.1 Age Eligibility: You must be at least 18 years of age (or the minimum age of legal majority in your jurisdiction) to establish an account or purchase paid subscriptions or credits. If you are between 13 and 17 years of age, you may use the Service only under the direct supervision and authorization of a parent or legal guardian who agrees to be bound by these Terms.

2.2 Account Security: You are solely responsible for maintaining the confidentiality of your account credentials (passwords, single-sign-on tokens, API keys) and for all actions taken under your account. You agree to notify Pushenvoy Technologies immediately at support@pushenvoy.com of any unauthorized access, breach of security, or compromised credentials.

2.3 Accuracy of Information: You agree to provide accurate, current, and complete registration information during signup and to keep this information updated at all times.

03Scope of Services & AI Features

DubEnvoy provides state-of-the-art generative and discriminative artificial intelligence capabilities tailored for digital video localization and voice generation, including:

• AI Video Dubbing: Automated translation, audio dialogue replacement, and synchronization across 50+ languages.
• Voice Cloning: Synthesis of synthetic audio matching pitch, emotion, cadence, and vocal timbre.
• Lip-Sync Technology: Visual frame alignment and facial lip re-animation matched to localized speech.
• Audio Dubbing & Subtitles: Multilingual audio tracks, automated SRT/VTT subtitle generation, and live interpretation.

Pushenvoy Technologies continuously enhances its platform. We reserve the right to modify, upgrade, deprecate, or suspend specific models, resolutions, or features without prior notice.

04Voice Cloning & Right of Publicity

4.1 User Representations: By submitting any audio recording, voice sample, or speech file to DubEnvoy for voice cloning or synthesis, you explicitly represent and warrant that:

1. The audio submitted is either your own genuine voice, or you possess verifiable written authority from the speaker authorizing you to upload, clone, process, and synthesize their voice across multiple languages.
2. Your use of the voice does not violate any right of publicity, right of privacy, trademark, copyright, or contractual restriction (such as union exclusivity, SAG-AFTRA agreements, or non-compete clauses).
3. You will not generate defamatory, deceptive, sexually explicit, harmful, politically deceptive, or fraudulent voice clones (e.g., impersonating public officials, celebrities, financial officers, or private citizens).

4.2 Sole Responsibility: Pushenvoy Technologies does not actively pre-screen every audio sample for likeness infringement. You remain solely and exclusively liable for all legal consequences, claims, fines, or damages resulting from unauthorized voice cloning or synthesis.

05Video & Media Uploads (Derivative Works)

5.1 Translation as a Derivative Work: Under international copyright law (including the US Copyright Act and Berne Convention), translating dialogue and dubbing audiovisual media constitutes the creation of a derivative work.

5.2 License and Ownership of Source Media: You represent and warrant that you hold all requisite copyrights, licenses, broadcast permissions, and synchronization rights for every video, audio track, background score, and script that you upload or link (including YouTube or social URLs) to DubEnvoy.

5.3 Strict Prohibition: You are strictly prohibited from uploading copyrighted movies, television episodes, music videos, broadcast news clips, or third-party creator videos unless you are the lawful copyright holder or possess an explicit written synchronization/translation license.

06Content Ownership & License Grants

6.1 User Ownership: As between you and Pushenvoy Technologies, you retain full ownership and intellectual property rights in your Input Content (original video, audio, text prompts) and the Generated Content (dubbed videos, cloned speech audio, translated subtitle files) created through your authorized use of DubEnvoy, subject to your compliance with these Terms and applicable third-party licenses.

6.2 Limited Operating License to Us: You grant Pushenvoy Technologies a worldwide, royalty-free, non-exclusive license to ingest, store, transcode, process, render, and transmit your Input Content and Generated Content solely to the extent necessary to deliver, host, maintain, and support the Service.

6.3 No Training on Private User Content: Pushenvoy Technologies and its integrated AI inference partners do not use your private video files, proprietary audio inputs, or cloned voice models to train public, open-market foundational artificial intelligence models without your explicit consent.

07Acceptable Use & Prohibited Conduct

You agree not to use DubEnvoy to:

• Generate or distribute deepfakes, disinformation, non-consensual synthetic media, or misleading political content.
• Create, upload, or dub content that depicts child sexual abuse material (CSAM), non-consensual sexual content, terrorism, hate speech, violent extremism, or harassment.
• Reverse engineer, decompile, disassemble, or extract source code or proprietary model weights from our platform.
• Deploy automated scrapers, bots, or rate-limit circumvention mechanisms against our endpoints or web studios.
• Resell, sublicense, or rent the Service or API credentials without an executed Enterprise Agreement.
• Engage in payment fraud, unauthorized credit card usage, or chargeback manipulation.

Pushenvoy Technologies reserves the right to employ automated content-moderation filters and immediately terminate accounts that violate our safety standards.

08Fees, Subscriptions & Credit System

8.1 Subscription Plans & Recurring Billing: DubEnvoy provides monthly and annual recurring subscriptions (e.g., Creator, Pro, Enterprise). Subscriptions automatically renew at the beginning of each billing cycle unless cancelled prior to the renewal date through your billing dashboard or mobile app store settings.

8.2 Subscription Credits Expiration (No Rollover): Monthly subscription plans allocate a designated quota of dubbing minutes/credits. Unused subscription credits expire at the end of each billing cycle and do NOT roll over to subsequent months. Unused credits are forfeited upon plan renewal or cancellation.

8.3 Lifetime / Top-up Credits: Where available, separately purchased non-subscription credit packs (“Lifetime Credits”) do not expire and remain active in your wallet for as long as your account remains in good standing.

8.4 Payment Gateways & App Stores: Transactions are securely processed through third-party payment providers (Stripe, Paystack, Apple In-App Purchase, Google Play Billing). You agree to pay all applicable fees and taxes.

8.5 Refund Policy: Due to the high computational GPU costs incurred immediately upon processing and rendering AI dubbing pipelines, all purchases and credit transactions are strictly non-refundable, except where required by mandatory local consumer protection statutes.

09DMCA & Copyright Infringement Policy

If you are a copyright owner or authorized agent and believe in good faith that any video, audio, or media generated or hosted on our platform infringes your copyright, please send a formal written notification containing the following elements:

• Identification of the copyrighted work claimed to have been infringed.
• Identification of the material claimed to be infringing, including URLs or project identifiers.
• Your full legal name, company name, address, telephone number, and email address.
• A statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law.
• A statement under penalty of perjury that the information in the notification is accurate and that you are authorized to act on behalf of the owner.
• A physical or electronic signature of the authorized copyright holder.

10Third-Party AI Services & Infrastructure

To execute neural voice cloning, multilingual speech-to-text, neural translation, and visual lip re-animation, DubEnvoy interfaces with vetted artificial intelligence and cloud computing providers (including ElevenLabs, Camb.ai, Replicate, MuAPI, OpenAI/Whisper, Amazon Web Services, and Cloudflare).

While Pushenvoy Technologies mandates strict data security and zero-training guarantees from its technology partners, we are not liable for transient downstream outages, model hallucination, or service interruptions stemming from third-party cloud infrastructure.

11Disclaimer of Warranties

THE SERVICE, INCLUDING ALL DUBBING TOOLS, VOICE CLONING ENGINES, APIS, AND GENERATED OUTPUTS, IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY OF TRANSLATIONS, AUDIO-VISUAL FIDELITY, OR UNINTERRUPTED AVAILABILITY.

12Limitation of Liability & Indemnification

12.1 Liability Cap: In no event shall Pushenvoy Technologies, its directors, officers, employees, partners, or licensors be liable for any indirect, consequential, punitive, incidental, or special damages (including loss of profits, loss of data, reputational injury, or business interruption) arising from or relating to your use of the Service. Our aggregate liability for all claims shall not exceed the total amount paid by you to Pushenvoy Technologies in the twelve (12) months preceding the incident.

12.2 Indemnification: You agree to defend, indemnify, and hold harmless Pushenvoy Technologies and its affiliates from and against any third-party claims, lawsuits, damages, penalties, and legal expenses (including reasonable attorneys' fees) arising out of: (a) your violation of these Terms; (b) any content, voice sample, video, or script submitted by you; (c) any violation of third-party intellectual property, privacy, or publicity rights; or (d) your misuse of cloned voice synthesis or dubbing tools.

13Account Termination & Data Purge (GDPR)

You may terminate your account at any time through your profile settings or by emailing support@pushenvoy.com.

Upon account termination or verified deletion request under GDPR/CCPA, Pushenvoy Technologies will flag your account for removal. All associated personal data, voice clone embeddings, raw audio files, and uploaded video assets will be permanently purged from active production servers within ninety (90) days. Encrypted backup snapshots will overwrite in accordance with our standard business continuity schedule.

14Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be settled by binding arbitration administered under commercial arbitration rules. The seat of arbitration shall be in the United States.
